Terms of Service

The rules that govern use of the Bonofide platform for customers and vendors.

Last updated: September 27, 2026

Bonofide, LLC Platform — Customer & Vendor Marketplace

These Terms of Use (“Terms”) govern access to and use of the website, mobile application, and related services (collectively, the “Platform”) operated by Bonofide, LLC (“Company,” “we,” “us,” or “our”), through which customers (“Customers”) are connected with independent third-party vendors who provide inspection, certification, authentication, and/or related services (“Vendors”). By accessing or using the Platform, you (“User,” “you”) agree to be bound by these Terms. If you do not agree, do not use the Platform.

Important — Arbitration notice and class action waiver

This agreement contains a binding arbitration provision and class action waiver that affect your legal rights. By accessing or using the Platform, you knowingly and voluntarily agree that, except where prohibited by applicable law, any dispute, claim, or controversy arising out of or relating to these Terms or the Platform shall be resolved exclusively through final and binding individual arbitration, and not by a judge or jury or in any court proceeding. You and Company each expressly waive any right to a trial by jury and any right to initiate or participate in any class action, class arbitration, or representative proceeding of any kind. Please review Section 8 (Dispute Resolution) carefully before using the Platform, as it governs how disputes between you and Company must be resolved.

1. Nature of the Platform

1.1 Marketplace, not a party to vendor services

The Platform is a venue that connects Customers with independent Vendors. Company is not a party to, and does not perform, any inspection, certification, or authentication service. All such services are provided solely by the Vendor. Company does not guarantee the accuracy, quality, timeliness, or outcome of any Vendor’s work.

1.2 Independent vendors

Vendors are independent third parties, not employees, agents, or representatives of Company. Company does not supervise, direct, or control the manner in which Vendors perform their services.

1.3 No professional advice

Nothing on the Platform constitutes legal, financial, real estate, engineering, or other professional advice from Company. Any Reports, certifications, or appraisals are the professional opinions of the issuing Vendor alone.

2. Eligibility and accounts

2.1 Eligibility

You must be at least 18 years old and legally capable of entering binding contracts in your state of residence to use the Platform.

2.2 Account registration

You agree to provide accurate, current, and complete information when creating an account and to keep it updated. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.

2.3 Vendor screening

Company may, but is not obligated to, screen, verify credentials, or conduct background checks on Vendors. Company does not warrant that any Vendor is licensed, insured, or qualified in every jurisdiction in which they accept assignments; Users are responsible for independently verifying a Vendor’s credentials where material to their decision.

3. Use of the Platform

3.1 Permitted use

You may use the Platform only for lawful purposes and in accordance with these Terms.

3.2 Prohibited conduct

You agree not to:

  • Misrepresent your identity or qualifications;
  • Circumvent the Platform to transact directly with a Vendor or Customer in order to avoid fees, where prohibited by your agreement with Company;
  • Upload false, fraudulent, or misleading information, reviews, or Reports;
  • Interfere with the Platform’s operation or security; or
  • Use the Platform to violate any applicable federal, state, or local law.

3.3 User content

Any reviews, ratings, photos, descriptions, or other content you submit (“User Content”) must be accurate and non- infringing. You grant Company a non-exclusive, worldwide, royalty-free license to use, display, and distribute User Content in connection with operating and promoting the Platform.

4. Fees and payments

4.1 Platform fees

Company may charge Customers and/or Vendors service or transaction fees as disclosed on the Platform at the time of booking or registration. Fees are subject to change with reasonable notice.

4.2 Payment processing

Payments made through the Platform may be processed by a third-party payment processor. By submitting payment information, you agree to that processor’s applicable terms. Company is not responsible for errors or delays caused by the payment processor.

4.3 Refunds and cancellations

Refund and cancellation policies for specific services are set by the applicable Vendor and/or disclosed at the time of booking, except as otherwise required by applicable state law.

5. Disclaimers

5.1 “As is” basis

The Platform and all Vendor services are provided “as is” and “as available,” without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, title, or non- infringement, except as prohibited by applicable law.

5.2 No guarantee of vendor performance

Company does not warrant that any Report, certification, or authentication issued by a Vendor is accurate, complete, or free of error, and Company is not liable for any Vendor’s acts, omissions, negligence, or misconduct.

5.3 State law exceptions

Some states do not allow the exclusion of certain implied warranties or limitations on certain consumer rights. In such states, the disclaimers in this Section apply only to the maximum extent permitted by that state’s law, and Users retain any non-waivable rights afforded under applicable state consumer protection statutes.

6. Limitation of liability

6.1 Liability cap

To the maximum extent permitted by applicable law, Company’s total aggregate liability arising out of or relating to the Platform or these Terms shall not exceed the greater of (a) the total fees paid by you to Company in the twelve (12) months preceding the claim, or (b) one hundred dollars ($100).

6.2 Excluded damages

To the maximum extent permitted by applicable law, Company shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for loss of profits, data, or goodwill, arising out of or related to use of the Platform or any Vendor’s services.

6.3 Jurisdictional variance

Some states do not allow the limitation or exclusion of liability for incidental or consequential damages, or impose different caps for consumer transactions. In those states, the limitations in this Section apply only to the extent permitted by law.

7. Indemnification

You agree to indemnify, defend, and hold harmless Company, its officers, directors, employees, and affiliates from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising out of or relating to: (a) your use of the Platform; (b) your breach of these Terms; (c) your violation of any law or third- party right; or (d) any transaction between you and a Vendor or Customer, except to the extent caused by Company’s own gross negligence or willful misconduct.

8. Dispute resolution

8.1 Informal resolution

Before filing a claim, you agree to contact Company at support@bonofide.net to attempt to resolve the dispute informally for at least thirty (30) days.

8.2 Binding arbitration; class action waiver

Except where prohibited by applicable law, by accessing or using the Platform you knowingly and voluntarily agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Platform shall be resolved exclusively through final and binding individual arbitration before an independent arbitrator, and not by a judge or jury or in any court proceeding, except that either Party may bring an individual claim in small claims court. If and when a dispute reaches the stage of arbitration, Company will provide or designate such independent arbitrator to preside over the proceeding. You and Company each expressly waive any right to a trial by jury and any right to initiate or participate in any class action, class arbitration, or representative proceeding of any kind.

8.3 State-specific enforceability

Arbitration and class-action-waiver provisions are unenforceable or restricted under the law of certain states (and in certain consumer contexts under federal law). Where this Section, or any part of it, is found unenforceable in a User’s state, the remainder of these Terms remains in effect and disputes shall proceed in the courts identified in Section 9, or as otherwise required by that state’s law.

9. Governing law and venue

These Terms are governed by the laws of the State of Wyoming, without regard to conflict-of-laws principles, except where a User’s state of residence mandates application of that state’s consumer protection law to claims brought by its residents. Subject to Section 8, exclusive venue for any dispute not subject to arbitration shall lie in the state or federal courts located in Sheridan County, Wyoming.

10. State-specific consumer disclosures

Certain states impose additional or different requirements on online marketplaces and consumer contracts (for example, right-to-cancel notices, specific arbitration opt-out procedures, data privacy disclosures, or minimum notice periods for changes to terms). This Section is reserved for jurisdiction-specific addenda; Company will supplement this Section as needed for residents of states with such requirements (e.g., California, New York, and others), to be finalized with counsel prior to launch.

  • California residents: [reserved — CCPA/CPRA privacy rights notice, right to opt out of arbitration if applicable]
  • New York residents: [reserved — applicable consumer protection disclosures]
  • Other states as applicable: [reserved]

11. Intellectual property

The Platform, including its design, text, graphics, logos, and software, is owned by Company or its licensors and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works from the Platform without Company’s prior written consent.

12. Termination

Company may suspend or terminate your access to the Platform at any time, with or without cause or notice, including for violation of these Terms. You may stop using the Platform at any time. Sections that by their nature should survive termination (including Sections 5–9 and 11) will survive.

13. Modifications to these Terms

Company may update these Terms from time to time. Material changes will be notified via the Platform or email at least ten (10) days before taking effect, except where a shorter period is required or permitted by law. Continued use of the Platform after changes take effect constitutes acceptance of the revised Terms.

14. General provisions

14.1 Entire agreement

These Terms, together with the Privacy Policy and any other referenced policies, constitute the entire agreement between you and Company regarding the Platform.

14.2 Severability

If any provision of these Terms is held invalid or unenforceable, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

14.3 No waiver

Company’s failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.

14.4 Assignment

You may not assign these Terms without Company’s prior written consent. Company may assign these Terms in connection with a merger, acquisition, or sale of assets.

14.5 Contact
